Our Experience

Our experience in the real estate sector helps us handhold investors, developers, and suppliers through the life cycle of a project, including structuring, investments, EPCs, financing, disputes, and regulatory matters across India.

Our expertise includes title diligence, certification of statutory approvals, drafting, negotiation, and finalisation of documentation including Letters of Intent, Agreements to Lease/Sale, Lease/Sale Deeds, Indemnities, Guarantees, Bank Guarantees and Corporate Guarantees), Developer Agreements, Joint Development Agreements, Construction and Interior Agreements, etc. We also advise funds and investors who seek to invest in real estate and infrastructure entities, entities seeking to purchase lands for residential, commercial, and industrial projects and clients who seek to acquire the business undertaking of third-party entities/companies.

Investment Transactions

  • Advised an American Investment management company in their investment transaction in a warehousing entity. The scope of work involved conducting a title due diligence of multiple warehousing spaces owned/leased by warehousing entity in Karnataka and Tamil Nadu, identifying the title issues and reviewing and modifying the Investment Documentation to be executed between the investor and target companies in order to ensure minimal impact to the investor on account of the title issues.

  • Advised an American Investment management company in their investment transaction in one of the largest real estate companies in India. The scope of work involved conducting a title due diligence of the properties owned by the real estate company in the states of Karnataka, Tamil Nadu, Kerala and Andhra Pradesh. This transaction also involved identification of the title issues and reviewing and modifying the Investment Documentation to be executed between the investor and target companies in order to ensure minimal impact to the investor on account of the title issues.

  • Advised a reputed institutional fund on multiple offshore investment platforms for investment in Indian commercial and residential real estate assets, including drafting and negotiation of investment management agreement and advisory agreements, contribution agreements, trust deeds and private placement memoranda.

  • Advised on private equity investments in construction and asset management companies.

Purchase and Sale

  • Advised a data management company in acquiring land for its office campus in Bengaluru, India. The scope of work involved drafting the tender documents to be circulated amongst various developers/bidders, reviewing the responses from the bidders, conducting a title due diligence of various land parcels identified by the bidders, conducting a detailed audit and diligence of the permitted land use, topography and other physical details of the land parcels in coordination with a surveyor. The scope of work also included drafting the Letter of Intent, Agreement of Sale, Escrow Agreement and Sale Deed with the selected bidder, issuance of a public notice and opining on the validity of various objections received to the said public notice.

  • Advised the wholly-owned subsidiary of a US-based hardware company in the acquisition of about 15 acres of land for setting up its office/assembly campus. The work involved conducting a detailed title due diligence, overseeing the survey process for the land, verifying the permitted usage of the land, issuing a public notice, assisting in handling and resolving the objections to the public notice, drafting and finalising the letter of intent, agreement of sale and sale deed and assistance with the registration of the absolute sale deed obtaining required licensing/permit, drafting and negotiating construction agreements with the contractor and supervision (contract management) until handover.

  • Advised a manufacturing company in the energy sector in establishing a capital intensive factory in
    an approved industrial park, where the work involved due diligence and purchase of approximately
    150,000 square meters of land, negotiations for documentation like agreement to sell, sale deeds, etc.; procuring approvals to establish factory, contracts for construction of factory, environment approval, power approval, consent to establish etc.

  • Advised an infrastructure and manufacturing company in the acquisition of 40 acres of land in the agricultural zone for establishing a project relating to farming, processing and packaging of a product.

  • Advised a major oil and gas company in the acquisition of various clusters of private land for drilling of wells.

  • Advised a Nordic energy company in setting up greenfield operations, including strategic advice on acquisition of development and consented projects, project partnering and joint ventures.

Lease Transactions
 

  • Advised an Indian family conglomerate for leasing of land in Bangalore Airport industrial and commercial zone for setting up a warehouse and 3D printing facility.

  • Advised a leading German Sports Manufacturer in respect of lease of various spaces to set up their outlets all over India. The scope of work involved conducting a title due diligence of the space intended to be leased, opining on the legally permitted usage of the premises and drafting and finalising the lease documentation.

  • Advised a leading American fast food chain for the leasing of various spaces to set up their outlets across India. The scope of work involved conducting a title due diligence of the space intended to be leased, opining on the legally permitted usage of the premises and drafting and finalising the lease documentation.

  • Advised on taking large office spaces on lease from builders including Unitech, DLF, Embassy Group, etc., for Fortune 500 clients.

  • Advised on leasing industrial land from state authorities, including HSIIDC for Faridabad cluster.

  • Advising a German pharma manufacturer on factory land lease with government authorities.

  • Advised an American financial services company for Project Management Services agreement as part of a global engagement.

Joint Development Agreements, Construction Contracts and Other Agreements​

  • Advised an Indian investment management company in setting up its office campus at a Special Economic Zone (SEZ). The scope of work involved conducting a detailed title due diligence, review of the statutory approvals and reviewing, opining and finalising a legal structure to ensure that the premises sought to be used and occupied by the company form part of the SEZ.

  • Advised on the proposed listing of an a real estate developer, as company counsel, including conducting land bank diligence on 13,000+ acres across India.

  • Advised a Nordic online music streaming company on office construction and renovation agreements.

  • Advised clients in drafting and finalising Construction and Development Agreements, Operation and Management Agreements and other Miscellaneous Agreements in respect of various commercial and industrial structures such as warehouses, factories, commercial malls, etc.

  • Advised clients in drafting and finalising Joint Development Agreements for the joint development
    of residential apartments, townships and villa complexes. We have represented both developers and landowners in separate transactions.

  • Advised developer clients in drafting and finalising Agreements of Sale and Construction Agreements with individual purchasers of villas and apartments in residential complexes.
